General Sesh Coworking Terms and Conditions
1. Overview and Brand Definitions
These Membership Terms and Conditions (the “Terms”) describe your rights and obligations in connection with your receipt and use of the services provided by Sesh Loft, LLC (the “Operating Entity”), doing business as Sesh Coworkingand Sesh Collective (collectively, “Sesh,” “we,” or “us”). These Terms apply to your Sesh membership, coins, conference room bookings, event space rentals, or other services specified herein (the “Services”).
PLEASE READ THESE TERMS CAREFULLY, AS THEY AFFECT YOUR LEGAL RIGHTS. AMONG OTHER THINGS, THESE TERMS INCLUDE YOUR AGREEMENT THAT EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE “GOVERNING LAW, DISPUTE RESOLUTION AND CLASS ACTION WAIVER” SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND SESH LOFT, LLC WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
2. Authority
If you are entering into these Terms on behalf of an entity, you represent and warrant that you have all necessary right, authority and consent to bind such entity to these Terms.
3. Membership Access
(a) Access to internal communications platforms, including but not limited to – Member Management System, Private Facebook Group, Community Newsletter, Sesh hosted events, and any additional networks as directed by the management team. (b) Access is dependent upon purchased association level. Unlimited Monthly Membership of Open Coworking is available at 2808 Caroline Street, Ste 100 & 201, Houston, Texas 77004 during normal operating business hours (M-F, 8 am to 5 pm). 24/7 access is available for an additional fee at our discretion. Dedicated Desk Membership or Office Rentals include 24/7 access to the Premises.
4. Services
“Services” include access to our online member network, member-only events, and space in the Premises. Services do not include products provided by third parties (e.g., group health insurance or payroll services). Some features of the Services may be subject to Additional Terms, which will be posted with those features or otherwise communicated to you.
5. Changes in Services and Terms
Sesh reserves the right to terminate your account with immediate effect if we no longer have the right to use the Premises. Any prepaid Membership Fees for periods following such termination shall be promptly refunded.
6. Age Requirement
Services are available to those 18 years of age or older. Individuals younger than 18 require approval from a parent or caregiver. Guests under the age of 21 are not permitted to events without prior approval from Sesh Community Management and could be asked to leave the Premises.
7. Passwords and Access
You agree not to reveal your account password or entry code to anyone else. You must promptly notify us if you suspect your password has been compromised. Access Devices (keys/fobs) remain our property and must be returned upon termination. Replacement fees apply for lost or damaged devices.
8. Linking to a Company
You agree not to falsely represent your association with any Company. If your membership is provided by a Company, you may lose access if your relationship with that Company ends. Authorized representatives warrant they have the authority to create and maintain Company accounts.
9. Payments
By providing payment information, you agree to pay recurring or nonrecurring fees. You acknowledge and agree that the payment method provided will be automatically charged for fees and any damages caused to our Premises.Recurring fees will be charged on the sign-up date and thereafter on a monthly basis.
10. Fee Modifications
Fees are subject to modification upon your next subscription period. Your continued use of the Services following notice constitutes agreement. You will be notified of fee modifications no less than 60 days prior to implementation via your registered email address.
11. No Refunds
All fees are non-refundable unless explicitly stated otherwise in a written contract. All fees must be paid in the official local currency.
12. Service Restrictions
Memberships are specific to the individual and cannot be shared. Spaces may not be used for “retail,” “medical,” or other nature involving frequent visits from the public without prior approval.
13. Security and Fines
All access-controlled doors must remain secured. Visitors must be met at the front desk and escorted by a member. Visitors must bring a valid government-issued photo ID. Unplugging cameras is strictly prohibited and will result in an immediate $250 fine, which you authorize Sesh to charge to your payment method on file.
14. Additional Space Use (Conference Rooms, Kitchen, Amphitheater)
At Sesh’s sole discretion, use of specific rooms may be limited to a predetermined rate. Time used in excess of allotted schedule would be subject to standard fees.
15. Property and Damage
Sesh is not responsible for property left behind. You must remove all property upon termination. You are liable for the repair cost of all damage to our Premises caused by you, your employees, or your guests.
16. Intellectual Property
You must not take, copy, or use any information or intellectual property belonging to other members. Sesh will not be held liable should your intellectual property be taken or used without your permission by third parties.
17. Alcohol
You may consume Alcohol on the Premises only if you are 21 or older and do so responsibly. Member assumes all risk associated with Alcohol consumption and agrees to indemnify Sesh Loft, LLC against any claims arising from Member’s (or Member’s guests’) intoxication.
18. Account Termination
If you fail to comply with these Terms, we may restrict access or terminate your account immediately without notice. We do not provide refunds upon termination. You remain liable for past due amounts.
19. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE MONETARY LIABILITY OF SESH LOFT, LLC AND ITS AFFILIATES (SESH COWORKING, SESH COLLECTIVE) TO YOU FOR ANY REASON SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO US UNDER THESE TERMS IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM ARISING. NONE OF THE SESH PARTIES WILL BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, RELIANCE OR PUNITIVE DAMAGES.
20. INDEMNITY
YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS SESH LOFT, LLC FROM AND AGAINST ANY AND ALL CLAIMS RESULTING FROM ANY BREACH OF THESE TERMS BY YOU, YOUR EMPLOYEES, OR YOUR GUESTS. YOU ARE RESPONSIBLE FOR THE ACTIONS OF AND ALL DAMAGES CAUSED BY ALL PERSONS THAT YOU INVITE TO THE PREMISES.
21. GOVERNING LAW AND VENUE
These Terms shall be construed in accordance with the laws of the State of Texas. The parties consent to the exclusive jurisdiction of the state or federal courts located within Harris County, Texas.
22. CLASS ACTION WAIVER
ANY PROCEEDING TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR SESH LOFT, LLC WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION OR IN ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS IN A REPRESENTATIVE CAPACITY.
23. SMS PROGRAM TERMS & CONDITIONS
Program Description: By opting in, you agree to receive automated informational and transactional text messages from Sesh Coworking and Sesh Collective (Sesh Loft, LLC), including booking reminders, membership updates, and customer support.
Opt-Out:Â You can cancel the SMS service at any time. Just text “STOP” to any message you receive. After you send “STOP,” we will send you a confirmation message that you have been unsubscribed.

Interruption:Â Carriers are not liable for delayed or undelivered messages.
Cost & Frequency:Â Message and data rates may apply. Message frequency varies based on your interaction with our services.
Mobile Privacy:Â Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.
24. OFAC
You represent and warrant that you are not an individual or entity listed on the Specially Designated Nationals and Blocked Persons List published by the U.S. Department of Treasury.
25. Equal Opportunity Policy
Sesh Loft, LLC maintains memberships without regard to race, religious creed, color, national origin, ancestry, physical disability, mental disability, medical condition, marital status, sex, sexual orientation, or age.
